Woman sues Med-Surg Group for agreement breach

BECKLEY – A woman is suing Med-Surg Group Inc. and a physician for breach of agreement.


Shahin Parsi, individually and as owner of Shahin Alaie LLC and as the executrix of the Estate of Rouzbeh K. Parsi; the Estate of Rouzbeh K. Parsi; and Shahin Alaie LLC are all named as plaintiffs in the suit.


Rouzbeh K. Parsi was the physician and owner of Med-Surg Group from its inception until his death in November 2012 and following his death, Shahin Parsi was appointed as executrix of the Estate of Rouzbeh K. Parsi, according to a complaint filed March 24 in Raleigh Circuit Court.


Shahin Parsi claims because she is not a physician, she was barred from owning Med-Surg Group and on Feb. 24, 2014, Rouzbeh Parsi's estate sold Med-Surg stock to Dr. Olu R. Sangodeyi in a stock purchase redemption agreement.


The agreement provided that Rouzbeh Parsi's estate was to sell 25 shares of stock in exchange for payment of $9,375 and the promissory note evidencing the sale provided that Sangodeyi was to make 35 monthly payments of $261.62 beginning March 14, 2014, according to the suit.


Shahin Parsi claims the agreement further provided that Med-Surg Group would redeem 975 shares of stock in exchange for payment of $365,625, and, as part of the stock redemption, Med-Surg Group would deliver a note payable to the estate for the redemption price.


The agreement established that Med-Surg Group was to pay the estate the redemption price through 35 monthly payments of $10,203.29, beginning March 24, 2014, according to the suit.


Shahin Parsi claims Med-Surg and Sangodeyi have repeatedly and systematically failed to make payments pursuant to the terms of the agreement and are in breach of the agreement.


Shahin Parsi is seeking judgment in favor of the plaintiffs in pursuant to the terms of the agreement. She is being represented by Jeffrey D. Van Volenburg of McNeer Highland McMunn & Varner LC.
